Cherrie joined OLN as a trainee solicitor in 2021, and she is currently assisting in the firm’s Tax Advisory Department. She gained experience in handling both non-contentious and contentious matters during her training. In particular, she assisted in a broad range of local and cross-border corporate and commercial matters (including mergers and acquisitions, corporate structuring and restructuring, corporate finance, and drafting commercial agreements etc.), labour and employment matters, as well as the setting up of family trusts for private clients. She now focuses her practice on handling corporate and commercial matters, and employment-related matters.

CORPORATE AND COMMERCIAL

• Advising on and assisting in various mergers and acquisitions for both sell side and buy side
• Conducting both buy-side and sell-side legal due diligence
• Reviewing and drafting various facility and security documents for lenders and borrowers
• Prepare shareholders’ or joint venture agreement
• Advising on and assisting in equity and debt financing
• Acting for a company engaged in carnival business and providing legal assistance on its business
• Advising on and assisting in drafting various commercial agreements, including distribution agreements, service agreements, commission agreements, call option agreements, non-disclosure agreements, privacy policies etc.

• Assisting in drafting employment contracts, employment handbooks, service agreements etc.
• Advising employers and employees on a wide range of employment-related enquiries including statutory entitlements of employees, termination procedure and payment, enforceability of restrictive covenants, nature of the commission / annual bonus / incentive payment, remedies in unreasonable and unlawful dismissal cases etc.
