Richard is a senior attorney based in our Hong Kong office. Originally from Saskatoon, Canada, Richard graduated from the University of Hong Kong in 1998 with an LLB (Honours, First Class) and obtained his Postgraduate Certificate in Laws (PCLL) in 1999. Richard was admitted as a solicitor in Hong Kong in 2001, and England & Wales in 2002. He is also a registered foreign lawyer in China, where he practiced for nearly 20 years, mostly in Shanghai, focusing on corporate structuring related to investment projects in China. 

Corporate and Venture Capital

Richard’s practice encompasses advice on private equity and debt financings, leading investment negotiations and completion, and preparing documents to implement deal terms. He also advises on the range of common issues for emerging companies, such as corporate structuring, IP licensing, equity incentive plans, and shareholder disputes. Richard represents both investors and founders.

Richard also advises companies on acquisitions, corporate restructurings, and joint ventures, and advises clients on investment structures, as well as regulatory and governance issues for investments in a range of industries and asset classes.

Licensing and Regulatory Compliance

A significant part of Richard’s practice includes assisting clients with licensing, regulatory and compliance issues. His experience in this area has enabled him to advise clients on a number of innovative and complex fintech projects throughout Asia, many of which rely on blockchain technology. This has included regulatory advice in relation to security token offerings and tokenization of equity and assets. 

Technology 

Richard has deep experience dealing with the commercial issues that technology businesses face, and has advised clients extensively on addressing and resolving those issues. He has advised over a hundred clients on legal issues relating to e-commerce platforms or online services sales and marketing, software development and licensing, technology outsourcing arrangements, digitalisation, intellectual property protection and commercialisation of their technology.

OLN Online

Richard leads OLN’s online legal services platform OLN Online and is a member of OLN’s digitalization policy team. He frequently speaks and writes about legal issues in the context of fintech and digital transformation.
