OLN's Corporate Services Department offers comprehensive company secretarial services to assist our clients to comply with the regulations of the Companies Ordinance in Hong Kong and all major off-shore jurisdictions, e.g. British Virgin Islands, Samoa, Seychelles and etc.

We advise and assist our clients to develop the group / corporate structure to meet our client’s business needs.

In particular, we provide the company secretarial services to companies for the following matters:

• Incorporation of new of companies, acquisition of ready-made companies, application of dormant or active status and deregistration
• Registration of non-Hong Kong companies or representative office in Hong Kong for overseas companies
• Initial setting up including application for business registration, opening and operating of bank accounts
• Annual maintenance of statutory books and records, filing of annual returns, annual general meetings
• Increase of share capital
• Changes made to an existing company such as change of company name, amendment of memorandum and articles of association, change of directors, change of shareholders, change of authorised signatories to operate the bank accounts
• Necessary directors’ minutes and / or shareholder’s minutes
• Provision of registered office facility, correspondence address and provision of nominee shareholders, directors, or secretaries
